Terms & Conditions of
XenoTrader
These Terms of Service ("Terms") govern your use of XenoTrader’s software, which will assist in automating the purchase and sale of assets. By accessing or using the software, you agree to these Terms. If you do not agree, do not use the Service.
1. Software Description
The Software uses data-driven insights, tools, and information to assist in automating trading and investing via a web-based platform. The Software is not financial advice, and you are responsible for your trading and investment decisions, as well as any losses incurred while using the Software. We aim to provide accurate, timely purchase and sale execution but do not guarantee specific outcomes.
2. Eligibility
You may only use the Software if you:
• Are at least 18 years old (19 in Canada, to align with the legal age of majority for contractual purposes).
• Reside in a jurisdiction where the Software is available.
• Agree to these Terms and our Privacy Policy. We reserve the right to refuse service to anyone who does not meet these criteria.
3. Account and Authentication
To access the Software, you must create an account via Auth0, providing accurate and complete information. You are responsible for:
• Maintaining the confidentiality of your account credentials.
• All activities under your account.
• You must not share your account or allow unauthorized access.
• Notifying us immediately of unauthorized access at info@xenotrader.ai.
• One account per user: You may only create and maintain one account per individual. Multiple accounts may be terminated at our discretion.
4. Payment and Subscriptions
The Software requires a paid subscription, processed monthly or annually via Block Inc. Fees are non-refundable except as stated in our refund policy:
• Refund Policy: No refunds are provided except if you request to cancel your subscription and we fail to process the cancellation before a charge is made, in which case the erroneous charge will be refunded. To request a refund, contact info@xenotrader.ai.
• Payment Terms: Payments are due in advance. Failure to pay may result in account suspension or termination.
• Late Payments: If payment fails, access to the Software may be suspended until payment is received.

5. License to Use the Software
We grant you a non-exclusive, non-transferable, revocable license to use the Software for personal or business purposes, subject to these Terms. You may not:
• Share, sell, or distribute proprietary trading data, trading activity, market analytics, or insights provided by the Software with third parties.
• Use the Software for illegal activities, including market manipulation or insider trading.
• Attempt to reverse-engineer, copy, or replicate the Software’s algorithms or data.
• Misrepresent your identity or financial status to access the Software.
6. Prohibited Activities
You agree not to:
• Use the Software for illegal purposes or to violate third-party rights.
• Introduce malicious code (e.g., viruses) or disrupt the Software.
• Share or distribute Software content without permission.
• Engage in automated scraping, crawling, or data mining of trading data, analytics, or other Software content without authorization.
• Attempt to gain unauthorized access to the Software, its servers, or user accounts.
7. Intellectual Property
All content, software, and data provided by the Software (e.g., market analytics, trading insights, portfolio tracking tools, trading activity) are owned by XenoTrader or its licensors and protected by copyright, trademark, and other laws. You are granted a limited, non-exclusive, non-transferable license to use the Software for personal, non-commercial purposes, subject to these Terms. User-Generated Content: If you provide input data (e.g., portfolio details, trading preferences), you grant us a worldwide, royalty-free license to use, store, and process such data to deliver the Software. We do not claim ownership of your input data, and you may request its deletion per our Privacy Policy.
8. Termination
• By You: You may terminate your account by managing your account through Block Inc., or by contacting support at info@xenotrader.ai.
• By Us: We may suspend or terminate your account for non-payment, misuse, or violation of these Terms.
• Upon termination, your access to the Software will cease, and we may delete your data per our Privacy Policy. Upon termination, no further charges will be made, but prior fees are non-refunded per Section 4.
9. Disclaimers and Limitation of Liability
The Software is provided “as is” without warranties of any kind. We do not guarantee the accuracy, completeness, or reliability of trading data, trading results, or statistics. Financial Disclaimer: The Software is for informational and assistive purposes only and does not constitute financial advice, investment recommendations, or guarantees of improved trading outcomes. You are solely responsible for your trading and investment decisions and any associated risks or losses. To the maximum extent permitted by law, XenoTrader is not liable for any direct, indirect, incidental, or consequential damages arising from your use of the Software, limited to the fees paid in the preceding 12 months.
10. Governing Law
These Terms are governed by the laws of Ontario, Canada. Disputes will be resolved in the courts of Ontario, Canada. You agree to submit to the exclusive jurisdiction of these courts. If any provision of these Terms is unenforceable, the remaining provisions remain in effect.
11. Changes to These Terms
We may update these Terms to reflect changes in the Software or legal requirements. We will notify you of significant changes via email or in-app notifications. Your continued use constitutes acceptance of the updated Terms.
